1. Agreement Overview
By joining our Affiliate Program ("Program"), you ("Affiliate" or “You”) agree to the following Terms & Conditions. Failure to comply, as determined by us in our sole discretion, may result in termination of your account and forfeiture of any commissions.

2. Representations and Warranties
You represent and warrant that:
You are over the age of 18 and are legally authorized to accept and capable of accepting these Terms & Conditions.
You will submit true, complete, current information and keep all information up-to-date;
You are responsible for all activity and/or use on your account.
You are exclusively operating and/or advertising in jurisdictions where the distribution and/or sale of adult material is NOT forbidden.
Your participation in the Program is contingent on your compliance with laws and ethical standards applicable to your business, as well as these Terms & Conditions.
The Affiliate is an independent contractor; nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship, and the Affiliate has no authority to bind Sparknet Limited in any manner.
The Affiliate must implement age-gating and comply with all applicable local age-verification laws and platform requirements for any NSFW or adult-oriented placements.

3. Commission
3.1 Valid Sales: Commissions are awarded only for valid, completed sales and do not apply to cancelled, refunded, or fraudulent transactions. Commissions are subject to chargeback/refund clawbacks; negative balances may be carried forward and offset against future payouts.
3.2 Commission Structure: The default commission structures are as follows.
Revshare offers: Affiliate members earn commissions from all payments made by their referred users. Commission income is lifetime, meaning affiliate members will earn commissions from all subscription and token payments during this period. Terminated affiliate accounts are not entitled to any subsequent commissions.
CPA (Cost Per Acquisition) or PPS Referral Model: Affiliate members earn a one-time commission when a referred user successfully converts into a customer and completes their first eligible purchase on our platform. They earn commissions on every subsequent eligible purchase made by the referred user.
3.3 Attribution: Unless otherwise agreed in writing, attribution is last-click; a 30-day cookie window applies and is locked at the time of the user’s first email login/registration associated with the referral link.

4. Payment Terms
Payouts are sent within NET 15 days after each billing period.
Each billing period consists of a full calendar month.
Payment methods include PayPal, Wire Transfer.
Affiliates must submit their payout details before the 1st of the month to be eligible for payout for a given billing period.
We require full name and postal address for self-billing purposes. This information must be updated on the affiliate profile or provided to our team before the 1st of each month.
All personal data provided is kept strictly confidential and will only be used for generating self-billing invoices.
The minimum payout threshold is set at $100 USD.

5. Prohibited Promotional Methods
All marketing through the Affiliate Program must be lawful and ethical. The following are strictly prohibited:
5.1. Brand Bidding on Google Ads & Other Paid Search: Affiliates may not bid on our brand name, its variations, or misspellings in Google Ads or any paid search platforms. This includes exact match, phrase match, or broad match modifiers targeting our brand name.
5.2. Incentivized Traffic: Affiliates may not use any form of cashback, rewards, or incentive-based traffic (e.g., "Get $X for signing up through my link"). Abnormal conversion rate will raise the suspicion of incentive based traffic, in case of not being able to justify where the traffic is coming from, the source/account will be suspended from payout.
5.3.
Falsely using Soulove AI's name or claiming to act on our behalf: Affiliates require our explicit, written consent before launching any marketing, PR, or similar campaigns under our name, or using our name when speaking to journalists or others who may publish news stories or information about the company or product.
Affiliates’ work is exclusively on their own behalf. Affiliates may not act or claim to act on Soulove AI’s behalf. This prohibition includes but is not limited to launching marketing campaigns under our name and/or falsely representing that the content of marketing campaigns has been authorized by us.
5.4. Illegal, offensive, or harmful content: Affiliates may not promote or market on websites or any online properties containing illegal, offensive, or harmful content (e.g., child abuse or exploitation, hate speech, self-harm content, violence, sexual violence, leaked content, non-consensual intimate imagery, deepfakes).
Affiliates may not promote or market on websites that contain or advertise with terms associated with sexualizing minors (e.g., “pre-teen,” “lolita,” etc.).
Your marketing through the Program must not infringe upon, misappropriate, or otherwise violate any copyright or intellectual property rights of any person or entity.
= Your marketing through the Program must not otherwise violate or breach any duty toward, or rights of, any person or entity.
5.5. Other Restricted Content & Practices: Affiliates may not promote or market through spam, content locking, or deceitful tactics (e.g., email spam, forum spam, misleading redirects, unauthorized landing page modifications).
Affiliates may not place NSFW landing pages and/or NSFW marketing material on online properties likely to be viewed by children.
Any online properties where marketing material is placed must be compliant with local age verification requirements
Affiliates must comply with applicable anti-spam laws (e.g., CAN-SPAM Act, CASL) and industry regulations.
You may not disparage our brands or otherwise portray us in a negative or misleading light.
Non-functional or inactive URLs may also be considered, in our sole discretion, to violate these Terms & Conditions.
Cookie stuffing, forced clicks, hidden iframes, auto-redirects, or any mechanism that sets tracking cookies without a conscious user action are strictly prohibited.
Self-referrals are prohibited; the Affiliate’s own accounts or personal purchases are not commissionable.
The Affiliate may not use Soulove AI’s names, trademarks, or misspellings in domains, subdomains, social handles, mobile or desktop apps, metadata, keywords, or metatags without our prior written consent.

6. Termination & Forfeiture of Commissions
We reserve the right to deactivate or terminate your account if it has engaged in practices that are prohibited under these Terms & Conditions or otherwise unlawful.
In appropriate cases, we may deactivate or terminate your account with no notice to you pending further investigation.
Affiliates violating these terms forfeit any unpaid commissions.

7. Confidentiality & Compliance
Affiliates are prohibited from publicly disclosing their commission rates or earnings.
Affiliates must comply with all applicable laws and regulations, including data protection laws and advertising guidelines.
We actively monitor traffic and sales for potential fraud. If fraudulent activity is detected, payouts will be withheld pending investigation.

8. Program Changes
We may update these Terms & Conditions at any time. Affiliates will be notified of significant changes.
Continued participation in the Program constitutes acceptance of any updates.

9. Indemnification
The Affiliate shall indemnify, defend, and hold harmless Soulove AI, its affiliates, and their directors, officers, employees, and agents from and against all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Affiliate content, traffic sources, non-compliance with these Terms, intellectual property infringement, privacy or data protection violations, or other regulatory breaches.
